Studio Agreement

For the purposes of this Agreement:

• "Studio" means a legal entity, talent agency, or management company that recruits, trains, and manages multiple Content Providers for the Platform.
• "Managed Model" means a Content Provider who is registered under the Studio's account and whose earnings are processed through the Studio.
• "Studio Dashboard" means the administrative interface provided to Studios for managing their roster of Managed Models.
• "Revenue Share" means the percentage of earnings allocated between the Platform, Studio, and Managed Model.

2.1 Studios must be legally registered business entities in their jurisdiction.

2.2 Studios must provide valid business registration documents, tax identification, and proof of address.

2.3 Studios must designate at least one authorized representative who will be responsible for all communications with the Platform.

2.4 Studios must maintain a physical location suitable for broadcasting, equipped with appropriate internet connectivity and broadcasting equipment.

2.5 Studios must comply with all local labor laws and regulations regarding employment or contractor relationships with their Managed Models.

3.1 The Studio shall ensure that all Managed Models are of legal age (18+) and have provided valid identification documents before appearing on the Platform.

3.2 The Studio shall maintain complete and accurate records of all identity verification documents for each Managed Model.

3.3 The Studio shall ensure all Managed Models have read, understood, and agreed to the Content Provider Agreement and Model Conduct Rules.

3.4 The Studio shall not coerce, force, or unduly pressure any individual to perform on the Platform.

3.5 The Studio shall provide adequate training to Managed Models on Platform policies, safety procedures, and professional conduct.

3.6 The Studio shall respond promptly to all communications from Platform administrators and compliance teams.

4.1 All Managed Models must be registered through the Studio Dashboard with complete documentation.

4.2 The Studio is responsible for the conduct of all Managed Models while broadcasting on the Platform.

4.3 If a Managed Model wishes to leave the Studio, they may request to convert their account to an independent Content Provider account, subject to Platform approval.

4.4 The Studio shall not prevent Managed Models from leaving the Studio arrangement, provided any contractual obligations between Studio and Model are resolved.

4.5 The Studio must maintain accurate scheduling and ensure adequate supervision during broadcast hours.

5.1 All earnings generated by Managed Models shall be paid exclusively to the Studio.

5.2 The Studio is solely responsible for distributing earnings to individual Managed Models according to their private arrangements.

5.3 Payout schedules and minimum thresholds for Studios are specified in the Studio Dashboard.

5.4 The Platform is not responsible for disputes between Studios and Managed Models regarding payment distribution.

5.5 Studios may negotiate custom revenue share arrangements with the Platform based on volume and performance metrics.

6.1 The Studio shall maintain all required records in compliance with 18 U.S.C. § 2257 and equivalent regulations in applicable jurisdictions.

6.2 Records must include government-issued identification, age verification, and signed consent forms for each Managed Model.

6.3 The Studio shall make records available for inspection by the Platform or law enforcement authorities upon request.

6.4 The Studio shall maintain records for a minimum of seven (7) years after the Model's last appearance on the Platform.

6.5 The Platform may conduct periodic audits of Studio compliance documentation.

7.1 The Studio shall indemnify and hold harmless the Platform from any claims, damages, or expenses arising from:

• Failure to verify Model age or identity
• Content violations by Managed Models
• Labor disputes with Managed Models
• Non-compliance with local laws and regulations
• Any third-party claims related to Studio operations

7.2 The Platform's total liability to the Studio shall not exceed the total payments made to the Studio in the preceding twelve (12) months.

8.1 This Agreement is effective upon approval of the Studio application and continues until terminated.

8.2 Either party may terminate this Agreement with thirty (30) days' written notice.

8.3 The Platform may terminate immediately for material breaches, including but not limited to:

• Failure to verify Model age or identity
• Repeated policy violations by Managed Models
• Evidence of coercion or trafficking
• Failure to maintain required documentation
• Fraudulent activity

8.4 Upon termination, Managed Models may apply to continue as independent Content Providers.

8.5 Outstanding earnings will be paid within sixty (60) days of termination, subject to any pending disputes.

This Agreement shall be governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Luxembourg.
